Corporate Counsel provides legal advice and counsel regarding securities, corporate maintenance, corporate governance, and mergers and acquisitions, reporting to the VP, Senior Associate General Counsel. S/he will join a team of versatile professionals who work closely together serving the needs of a complex, highly regulated international organization. S/he will handle a diverse and challenging array of securities and corporate matters arising from the organization's status as a public company and provide legal support to the Board of Directors, Treasury, and Finance. Qualified candidates will exhibit exceptional experience, and a practical, solution-driven, business-based approach to problem solving and exceptional interpersonal skills that facilitate prompt, constructive solutions for operational personnel and executives across the organization. If you live within the Chicagoland area, this will be a hybrid role. If you live outside of the Chicagoland area, this will be a remote position. Responsibilities Prepare 8K, 10K and Form 3 & Form 4 filings. Assist in drafting of Annual Proxy Statement - working with various teams, including Total Rewards and Finance on narrative, charts and tables. Work within the 1933 and 1934 Acts, especially with securities filings, and with corporate governance. Assist on M&A transactions, including due diligence and drafting of agreements. Assist in managing corporate subsidiaries. May provide legal counsel and guidance to one or more institutions of the organization on operational matters. May advise one or more additional functional departments of the organization on the legal implications of their activities. Completes other duties as assigned. #IND1 #LI-CJM Qualifications To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. Below are the minimum requirements of the education, experience, knowledge, and skills required to competently perform in this position. Reasonable accommodations may be made to enable individuals with disabilities to perform the essential functions. Required J.D. from an accredited law school. Must be in good standing with the Illinois State bar. Applicants must have 5 or more years of substantive law firm and/or in-house legal experience, with at least three years in-house strongly preferred. Substantive experience with the 1933 & 1934 Acts, especially with securities filings. SEC and public company experience. Excellent interpersonal skills with the ability to work well in a fluid/fast-paced, highly collaborative, team environment. Strong problem-solving skills with the ability to quickly assess potential for risk and opportunity. Possesses strong work ethic and customer service orientation and ability to prioritize conflicting demands from multiple business clients. Ability to work effectively with all levels of management, to manage multiple projects simultaneously, exercise sound judgment and work independently and efficiently, and meet deadlines with consistently high-quality work product in a fast-paced environment. Must be a proactive self-starter with strong leadership skills.
Salary Range:
$150K -- $200K
Minimum Qualification
Legal & RegulatoryEstimated Salary: $20 to $28 per hour based on qualifications.

The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
